With many years of expertise in banking and financing law, we advise banks and financial service providers, including a large number of well-known factoring and leasing companies as well as credit insurers, industrial companies and project developers.
We support our clients in all financing issues, including general corporate and acquisition financing as well as real estate financing and project and infrastructure financing. Our advice includes bilateral secured and unsecured financing and collateral agreements, delimitation agreements for individual forms of financing, promissory note loans as well as syndicated pool and syndicate agreements. We are also very familiar with international LMA standards.
Our activities are not limited to the comprehensive drafting and negotiation of contracts, but also include the judicial enforcement of our clients’ claims and the defense against opposing claims. This also covers disputes with customers. If required, we also carry out the debt collection for our clients.
One focus of our activities is to advise creditors in crisis or insolvency of their customers. In the event of insolvency, we assist creditors in enforcing their rights as well as in drawing up and negotiating continuation agreements. We also represent creditor pools during insolvency proceedings. Finally, we comprehensively defend creditors against revocatory actions.
In addition, we have strong expertise in the field of real estate financing. Besides legal and tax advice on financing structuring, we offer our clients interdisciplinary support in discussions with banks, during the project evaluation and financing procurement, in the selection of project partners and other risk carriers as well as in searching alternative funding and (pre-)sale solutions. In difficult times, we provide profound assistance on crisis and conflict management, including the settlement and liquidation of non-performing real estate portfolios.
We also advise on all issues relating to central regulation. This concerns questions of contract drafting, delimitation issues and insolvency law advice.
